General Terms and Conditions (GTC)

§ 1 Scope

These General Terms and Conditions apply to all contracts between the provider named in the imprint (hereinafter “Provider”) and its customers (hereinafter “Customer”) regarding the use of the VANTEX services (Discord bot, web dashboard and associated features). Deviating terms of the Customer are not recognised unless the Provider expressly agrees to their validity in writing.

§ 2 Subject matter and services

The Provider makes available a software platform for managing Discord communities. The scope of the respective service is derived from the service or package description valid at the time of the order. The Provider is entitled to further develop the service, adapt it and change individual features, insofar as this is reasonable for the Customer.

§ 3 Conclusion of contract

The presentation of the services does not constitute a binding offer. The contract is concluded when the Customer places an order and the Provider confirms it or provides the service.

§ 4 Prices and payment

The prices stated at the time of the order apply. Unless stated otherwise, prices are final prices. Billing is carried out in advance for the respective agreed billing period. If the Customer defaults on payment, the Provider may suspend the service after prior notice.

§ 5 Term and termination

Unless otherwise agreed, the contract is concluded for an indefinite period and may be terminated by either party at the end of the respective billing period. The right to extraordinary termination for good cause remains unaffected. Terminations require text form (e.g. email to the address stated in the imprint).

§ 6 Right of withdrawal for consumers

Consumers generally have a statutory right of withdrawal. For contracts on the provision of digital content/services, the right of withdrawal may expire early if the Customer expressly agrees that performance begins before the withdrawal period expires and confirms their knowledge of the loss of the right of withdrawal. (A separate withdrawal notice is to be provided during the order process.)

§ 7 Customer obligations

The Customer undertakes not to use the service unlawfully, in particular not to distribute content that violates applicable law or Discord's terms of use. The Customer is responsible for the content posted by them or their members and keeps their access credentials secret.

§ 8 Availability

The Provider strives for the highest possible availability of the service but does not owe uninterrupted availability. Maintenance work, disruptions at third parties (e.g. Discord, hosting providers) or cases of force majeure may lead to temporary restrictions.

§ 9 Liability

The Provider is liable without limitation for intent and gross negligence as well as for injury to life, body or health. In the case of simple negligence, the Provider is liable only for the breach of a material contractual obligation (cardinal obligation) and limited to the foreseeable damage typical for the contract. Otherwise liability is excluded.

§ 10 Data protection

Information on the processing of personal data can be found in the privacy policy.

§ 11 Changes to these GTC

The Provider may amend these GTC with effect for the future insofar as this is necessary to adapt to changed legal or factual circumstances and is reasonable for the Customer. The Customer will be informed of changes in good time.

§ 12 Final provisions

The law of the Federal Republic of Germany applies. Should any provision of these GTC be or become invalid, the validity of the remaining provisions remains unaffected.
